MBB Industries AG acquires CLAAS Fertigungstechnik GmbH
Plant construction specialist for the automotive industry firmly put into new hands / CLAAS with focus on further growth in agricultural technologyBerlin/Beelen, 9 March 2012. MBB Industries AG (Messerschmitt-Bölkow-Blohm), Berlin, acquires 100% oft the shares of CLAAS Fertigungstechnik GmbH, Beelen, a subsiduary of CLAAS KGaA mbH. A respective purchase agreement – subject to conditions precedent – has been signed by the parties today. It has been agreed not to disclose the purchase price. The final closing is expected to take place before the end of the second quarter of 2012. CLAAS Fertigungstechnik GmbH, is a leading international plant construction firm or the automotive and other industries and has contributed close to three percent oft he CLAAS group turnover. CLAAS Fertigungstechnik employs a staff of approximately 270. Final closing provided, the company shall continue to operate out of Beelen under the new name of MBB Fertigungstechnik GmbH employing all current staff.
CLAAS Fertigungstechnik generated profitable annual sales in 2011 of more than approximately €100 million. Sales are expected to rise in 2012 and beyond on account of its high orders on hand.
Following the assessment of MBB Industries, the acquisition of CLAAS Fertigungstechnik GmbH will result in a significant increase in annual sales at MBB Industries AG which will total beyond to up to €200 million in 2012. This will be achieved with the Group’s new headcount of more than 1,000 employees. Given the profitable operations of its new investment, the Managing Board of MBB Industries AG assumes a sustainable increase in annual earnings beyond the €0.51 per share generated in 2011. The MBB Industries board is convinced to command sufficient funding for further growth including buyouts after this acquisition.
